AGREEMENT TO OUR LEGAL TERMS

We are ROMANELLO SYSTEMS ("Company," "we," "us," "our"), a company registered in Ontario, Canada.

We operate the website romanellosystems.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Romanello Systems is a digital services company providing custom website design to help local businesses strengthen their online presence. Our Services include custom branded website design and development, search engine optimization (SEO), and ongoing website maintenance. We also offer optional integrated automation solutions including automated lead follow-up systems, missed-call text-back automation, two-way SMS chat functionality, and Google review management.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ROMANELLO SYSTEMS, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

By clicking "I Agree," making a payment, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

We recommend that you print a copy of these Legal Terms for your records.

1. SERVICES PROVIDED

Standard Website Package:

- Custom branded website (up to 10 pages)

- Search engine optimization (SEO) setup

- Domain registration or DNS configuration

- Mobile optimization

- Hosting and security setup

- Ongoing website hosting and maintenance

- Up to 30 minutes of minor website updates per month

- System monitoring and security updates

- Dedicated support

Optional Add-On Services (available upon request):

- Lead capture forms and automation

- Live SMS chat widget

- Missed call follow-up text automation

- Google review request system

- Automated lead response system

Pricing:

One-Time Setup Fee: $497 CAD (billed upfront)

Monthly Subscription: $97 CAD (billed immediately and recurring monthly on the 1st of every month)

Add-on automation services may be priced separately based on scope.

2. ADDITIONAL SERVICES & CHARGES

The monthly subscription covers standard features for websites up to 10 pages. The following services are not included and may incur additional charges with prior approval:

- Additional website pages beyond the initial 10 pages

- Custom integrations (calendar booking systems, CRM integrations, third-party APIs)

- Website updates exceeding 30 minutes per month ($75/hour)

- Major website redesigns or structural changes

- E-commerce functionality

- Custom software development

- Social media management

- Paid advertising management

- Ongoing content creation or copywriting beyond initial setup

No additional work will be performed without Client approval.

3. SALES TAX

No HST/GST is currently charged while the Service Provider remains under the $30,000 CRA threshold. Once required, 13% HST will be added with 30 days written notice.

4. DOMAIN OWNERSHIP & SETUP

If Client has an existing domain, Client authorizes the Service Provider solely to update DNS records to connect the website.

If Client requires a new domain, the Service Provider will register the domain in Client's legal business name. The cost of domain registration is included in the one-time setup fee and covers the first year only. Upon expiry, the Client will be invoiced annually for domain renewal at the prevailing rate charged by the domain registrar at that time.

Clients retain full ownership of their domain at all times, including after cancellation.

5. WEBSITE & CONTENT OWNERSHIP

Client owns:

- Domain name

- All content provided by Client

- All leads and customer data (if automation services are used)

Service Provider retains:

- Website design framework and code

- Automation workflows and system configurations (if applicable)

- Platform infrastructure

Upon cancellation, the website will be taken offline, but Client retains their domain and content.

6. PAYMENT TERMS

Setup Fee: Due upfront. Work begins once payment is received.

Monthly Subscription: Billed immediately upon signup and will recur automatically on the same calendar day each month thereafter.

Late Payments:

- Services may be suspended after 7 days overdue

- A $25 late fee may apply after 14 days

- Services resume once payment is received

Payment Method: Client authorizes automatic recurring charges via the payment method provided.

7. SETUP TIMELINE & CLIENT RESPONSIBILITIES

Timeline: 7–10 business days after the client provides all required materials.

Client Responsibilities:

Provide business information, content, logos, and images within a reasonable timeframe after request

Respond to preview links and revision requests promptly to avoid delays

Approve automated message templates before launch (if automation services are used)

Delays caused by Client response time may extend the timeline.

Revisions:

Up to two revision rounds are included prior to launch

Revisions are typically completed within 3–5 business days per round

8. WEBSITE UPDATES & REVISIONS

Monthly plan includes up to 30 minutes of minor updates, such as:

- Text edits

- Image swaps

- Contact info updates

- Small layout adjustments

Work beyond this scope is billed at $75/hour with approval. Update requests must be submitted via email.

9. CANCELLATION POLICY

Clients may cancel with 30 days written notice via email.

During notice period: Subscription remains active and billable

After cancellation:

- Website is taken offline

- Client retains domain and content

- Client receives lead/contact data export (if applicable)

All fees paid are non-refundable, including setup fees and partial months.

10. TERMINATION BY SERVICE PROVIDER

The Service Provider may terminate services immediately or with notice for:

- Non-payment

- Illegal or unethical requests

- Abusive behavior

- Agreement violations

Upon termination by the Service Provider, all services will cease immediately. No refunds will be issued for any fees already paid.

11. THIRD-PARTY SERVICES

Services may rely on third-party platforms (hosting providers, domain registrars, SMS providers if automation is used).

The Service Provider is not responsible for third-party outages, pricing changes, or service discontinuation.

Pricing adjustments due to third-party cost increases require 60 days written notice.

12. AUTOMATED COMMUNICATIONS (If Applicable)

If Client opts for automation services:

Client authorizes automated SMS and email communications on their behalf

Client is responsible for legal compliance (CASL, TCPA, GDPR where applicable)

Client may review and approve all templates prior to launch

13. CONTENT & INTELLECTUAL PROPERTY

Client represents that all provided content is owned or properly licensed.

Client agrees to indemnify the Service Provider from any claims arising from Client-provided content.

14. LIMITATION OF LIABILITY

No Guarantees: The Service Provider does not guarantee specific results, lead volume, conversion rates, search engine rankings, or revenue generation.

Maximum Liability: Total liability shall not exceed the amount paid by Client in the 12 months preceding any claim.

Excluded Damages: No liability for indirect, incidental, or consequential damages.

15. DATA & PRIVACY

Client owns all lead and customer data (if applicable).

Data is used only to provide services.

Data exports are provided upon cancellation.

Data is retained for up to 90 days post-cancellation, then deleted.

16. GENERAL PROVISIONS

Governing Law: This agreement is governed by the laws of the Province of Ontario, Canada.

Entire Agreement: This constitutes the entire agreement between the parties and supersedes any prior discussions, proposals, or agreements.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

Communication: All formal notices must be sent via email to the addresses provided in this agreement.

Force Majeure: Neither party is liable for failure to perform due to circumstances beyond reasonable control (natural disasters, pandemics, internet outages, government actions, etc.).

17. SMS DISCLOSURE

By opting in to our SMS services, you agree to receive text messages related to notifications, marketing offers, account authentication (2FA), and other service-related communications. Message frequency may vary.

Standard message & data rates apply according to your mobile carrier's terms.

To opt out of SMS communications at any time, reply STOP to any message you receive. If you need assistance, you can text HELP for support.

Messaging Consent: As a user, you must explicitly consent to receive messages from ROMANELLO SYSTEMS. Consent can be given through various channels including, but not limited to, our website sign-up forms, paper forms, or verbally through customer service interactions.

Message Types and Frequency: Messages sent by ROMANELLO SYSTEMS may include alerts, reminders, promotional offers, updates, and other relevant communications. Message frequency may vary depending on your interaction with our services and your preferences.

Data Rates and Charges: Standard message & data rates apply to any messages you send or receive as part of our service. This could affect your bill and depends on the terms set by your mobile carrier.

Opt-Out Instructions: To discontinue receiving messages from ROMANELLO SYSTEMS, you can reply STOP to any of our messages at any time. This will unsubscribe you from our SMS communications.

Message Delivery: ROMANELLO SYSTEMS does not guarantee that messages will be delivered without delays or failures. Such issues can occur due to factors outside our control, such as network problems or device compatibility.
